Welcome to Coort Incorporated (“Coort,” “we,” “us,” or “our”). By accessing or using our AI-Tailored Product (the “Product”), you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully.

1. Acceptance of Terms

By creating an account or using the Product, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Product on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

2. AI-Tailored Services

The Product utilizes artificial intelligence and machine learning algorithms to provide personalized outputs.

• Nature of AI: You acknowledge that AI outputs are generated based on patterns and      data. While we strive for accuracy, the Product may occasionally produce      inaccurate, incomplete, or biased information.
• User Responsibility: You are responsible for verifying the suitability and accuracy of      any AI-generated content before relying on it for professional, legal, or      financial decisions.

3. User Data and Inputs

• Input Ownership: You retain all rights to the data, text, or files you upload to the      Product (“Inputs”).
• License to Coort: By providing Inputs, you grant Coort a worldwide, non-exclusive,      royalty-free license to use, host, and process your Inputs solely to      provide, maintain, and improve the AI models and services.
• Data Privacy: Your Inputs are handled in accordance with our [Privacy Policy]. We      do not sell your personal data to third parties.

4. Proprietary Rights

• The Product: All software, algorithms, branding, and interfaces associated with      the Product are the exclusive property of Coort Incorporated.
• Outputs: Subject to your compliance with these Terms, Coort hereby assigns      to you all right, title, and interest in the unique outputs generated for      you by the Product. Note that similar outputs may be generated for other      users based on similar inputs.

5. Prohibited Use

You agree not to use the Product to:

• Generate content that is illegal,      harmful, or promotes discrimination.
• Attempt to reverse-engineer,      decompile, or extract the source code of the AI models.
• Use automated bots to      "scrape" the Product without express written permission.
• Mislead others into believing      AI-generated content is entirely human-authored if doing so violates      ethical or legal standards.

6. Limitation of Liability

To the maximum extent permitted by law, Coort Incorporated shall not be liable for any indirect, incidental, or consequential damages arising out of your use or inability to use the Product. The Product is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

7. Termination

We reserve the right to suspend or terminate your access to the Product at our discretion, without notice, if you breach these Terms or if your use poses a security risk to our systems.

8. Governing Law

These Terms are governed by the laws of the jurisdiction in which Coort Incorporated is headquartered, without regard to conflict of law principles.

9. Changes to Terms

Coort Incorporated may update these Terms from time to time. We will notify you of significant changes via the email associated with your account or through a prominent notice within the Product interface.

10. Subscriptions and Billing

• Subscription Plans: Some features of the Product are billed on a subscription basis      (“Subscription(s)”). You will be billed in advance on a recurring and      periodic basis (monthly or annually), depending on the plan you select.
• Automatic Renewal: At the end of each billing cycle, your Subscription will      automatically renew under the exact same conditions unless you cancel it      or Coort Incorporated cancels it.
• Price Changes: Coort, at its sole discretion and at any time, may modify      Subscription fees. Any change will become effective at the end of the      current billing cycle, and we will provide you with reasonable prior      notice.
• Refunds: Except when required by law, paid Subscription fees are      non-refundable. We recommend using the "Free Tier" or      "Trial Period" (if available) to evaluate the Product before      committing to a paid plan.

11. API Usage and Limits

• Usage Limits: Your access to the Product via our API is subject to specific usage      limits (e.g., rate limits, token counts, or concurrent requests) as      defined in your chosen plan.
• Excessive Use: If your usage significantly exceeds the average usage of other      customers or bypasses the established limits, Coort reserves the right to      temporarily throttle or suspend your access to prevent service degradation      for other users.
• API Credentials: You are responsible for maintaining the security of your API keys.      Any activity occurring under your API credentials will be deemed your      responsibility.
• Prohibited Scraping: Using the API to systematically "scrape" or harvest data      to create a competing machine learning model or database is strictly      prohibited and may result in immediate account termination.
